From everything I've read online it seems to have been low sales of most of their games being the eventual downfall which may sound weird considering most of them where critically acclaimed.
Even heard that the recent Batman games they made (which where VERY well received from fans) also was a sales flop, really in my opinion I think its just the sheer oversaturation of their games and the vast numbers they where putting out of them for various high level IPs such as Batman, Game of Thrones, and The Walking Dead which in itself would not only put them under strict deadlines with those rights holders but would also cost them a great deal of money staff wise and considering its been said those games did not sell well (other than The Walking Dead) then it makes perfect sense why they could not keep it up.
And as far as to why those games don't sell well from my own personal take I originally got into their games through the Game of Thones games episode 1 to 4, to be honest after episode 4 I found myself not actually enjoying the game and more enjoying the great storyline more than anything so I just decided to catch the rest on it on youtbe playthroughs. The problem with the Telltale games is that while they have FANTASTIC and engaging storylines they also suffer from very poor inovation gameplay wise with each game using the same engine over and over which really makes their only selling point the storyline really and most fans such as myself would rather catch the story through a walkthrough on youtube rather than play threw the same gameplay engine each episode.

And I discovered the walking dead game season 1 the past week, well, (A friend shared me his steam library, but he hadn't got the next seasons), well, this notice unfortunately encourages me to don't buy those missing seasons, I'm not really willing to get a catching story with a huge "it will continue" as ending.
But perhaps the problem could be more in why people didn't bought it at first?, I think it's due the chapter system with the long break times. Even when I found Walking Dead s1 and I though I could like it, I didn't find myself tempted to buy a game with some 2-3 hours chapter, and then have to wait ¿two months? to can see how does it continue. I think that's too much time. (Maybe for some people it's not, and they are fine with it, but as we can see with this new, those people were not enough).
Other point could be the bland gameplay, I liked TWD season 1 story, conversations and scenes, but when I finished, I was not really excited to repeat it again. O_ò, if I buy future seasons, I think I could forgive that because the price is low, but as it's not a huge game experience, I neither get very hype for it, so I feel like, if I don't buy it, I'm fine too. (I was thinking get s2 and s3 when s4 got concluded, now I'll leave that plan on the air).
So with games with not so much pro-buy feeling and more no-buy hints due to their long-break times between chapters. I think that's what made me avoid the purchases of their titles. And I think other people may have felt something similar.
